1. Service Agreements
Each engagement is governed by a written proposal or Statement of Work (SOW) defining scope, deliverables, timeline and fees. Changes to scope require a written change request and may affect price and schedule.
2. Client Responsibilities
Clients agree to provide timely feedback, content, and access to systems required for the work. Delays caused by missing inputs may extend timelines.
3. Intellectual Property
Upon full payment, the client owns all custom code, designs and deliverables created for the project. I retain ownership of pre-existing tools, libraries and know-how, granting the client a perpetual, non-exclusive license to use them as part of the deliverable. Open-source components remain under their respective licenses.
4. Confidentiality
Both parties will keep confidential information private and use it only for the purposes of the engagement.
5. Limitation of Liability
My total liability under any engagement is limited to the fees paid for that engagement. I am not liable for indirect, incidental or consequential damages, including lost profits or data, to the fullest extent permitted by law.
6. Warranty
I fix defects reported within 30 days of delivery at no extra cost. Audits are provided as professional recommendations and do not guarantee the absence of vulnerabilities.
7. Governing Law
These terms are governed by the laws of the jurisdiction stated in your SOW.
